By accessing the website https://solutions.kimp.co.in, submitting a consultation request, or executing a Statement of Work (SOW) or service contract with Kimp Solutions, you (“Client”, “you”, or “your”) enter into a legally binding agreement with Kimp Solutions (“Company”, “we”, “us”, or “our”), headquartered at Kimp, Nahar Road (Dubai Road), Korba, Chhattisgarh 495677.

If you are accepting these Terms on behalf of an enterprise or other legal entity, you represent and warrant that you possess the legal authority to bind that organization to these provisions.

Kimp Solutions specializes in premium software engineering and end-to-end digital transformation services, including:

Software engineering is a collaborative discipline. For Kimp Solutions to deliver projects on schedule and within budget, the Client agrees to:

• Provide Clear Specifications: Furnish detailed business requirements, wireframes, style guides, and functional user stories in a timely manner.
• Timely Approvals: Review and sign off on design iterations, architecture blueprints, and sprint milestones within 5 business days of delivery.
• Access & Third-Party Services: Provide necessary API keys, development environment access, domain DNS records, and third-party SaaS subscriptions as required by the project scope.
• Content Ownership: Ensure that all text, imagery, trademarks, and multimedia supplied for implementation are legally owned or licensed by the Client.

Each dedicated engagement is defined by a distinct commercial proposal or Statement of Work (“SOW”), detailing project milestones, deliverable specifications, sprint timelines, and pricing schedules.

Any feature requests or architectural changes outside the agreed SOW will be evaluated as a Change Order, complete with an updated quote and revised timeline prior to commencement of additional development.

Unless otherwise documented in your specific SOW, standard commercial terms apply:

• Milestone Invoicing: Engagements typically operate on phased milestone payments (e.g., upfront sprint deposit, mid-point prototype milestone, and final release handover).
• Payment Window: Invoices are payable within 7 business days of issuance via bank wire transfer (NEFT/RTGS/IMPS), UPI, or approved international payment gateways.
• Taxes: Applicable government taxes (such as GST in India or local sales taxes) will be calculated and itemized on all official invoices.
• Late Payments: Unpaid balances past 14 business days may result in a temporary pause of active sprint work and cloud deployment pipelines until accounts are reconciled.

Pre-existing Code & Frameworks: Kimp Solutions retains ownership of internal toolkits, reusable boilerplate modules, and utility scripts utilized to accelerate development. The Client receives a perpetual, non-exclusive, worldwide, royalty-free license to use, modify, and distribute these embedded utilities in connection with the deliverables.

Open Source Components: Deliverables may incorporate third-party open-source libraries (e.g., React, Next.js, PostgreSQL). Such components remain subject to their respective open-source licenses (MIT, Apache 2.0, BSD).

We take great pride in our code quality and architectural integrity:

The warranty does not cover issues resulting from modifications made by third parties, unexpected changes to third-party APIs, or client server misconfigurations. Ongoing support, feature iterations, and SLAs beyond 30 days are handled under separate Annual Maintenance Contracts (AMC).

To the maximum extent permitted by applicable law:

• In no event shall Kimp Solutions, its directors, engineers, or affiliates be liable for any indirect, consequential, special, punitive, or incidental damages, including loss of business profits, data corruption, or operational disruption.
• The aggregate total liability of Kimp Solutions arising out of or related to any project engagement, whether in contract, tort, or otherwise, shall be strictly capped at the total amount actually paid by the Client to Kimp Solutions under the specific SOW giving rise to the claim.

These Terms and Conditions shall be governed by and construed in accordance with the substantive laws of India. In the event of any dispute arising out of or in connection with these Terms, the parties shall first attempt to resolve the matter through amicable good-faith negotiations.

If unresolved within 30 days, the courts located in Korba / Bilaspur, Chhattisgarh, India shall have exclusive jurisdiction to adjudicate any claims or proceedings.
